Purchases and Sales

We assist clients in the negotiation and closing of real estate acquisitions and sales, including selecting real estate for particular uses, due diligence (compliance with land use regulations), review of title rights and insurance, negotiation and preparation of purchase agreements, conveyance documents, financing documents, escrow instructions and other related documents, assisting in real estate transaction procedures, and conducting review and analysis of federal and local government incentives.



Our attorneys represent both landlords and tenants in all aspects of commercial leasing transactions, including cannabis-related leases, retail/office/ground leases, build-to-suit leases, industrial leases, and subleases. Our leasing work also includes assignments, work letters, takeover agreements, and reciprocal lease agreements.


Real Estate Development/Operation/Land Use

We assist developers and contractors in the creation and operation of all types of real estate projects, including manufacturing/agricultural, office, retail, hotel, entertainment, industrial, residential and mixed-use developments. Our expertise covers all phases of these projects, including acquisition, land use (CUPs), annexation, zoning, environmental review, and all aspects of subdivisions, entitlements, and permitting.


Real Estate Financing

We represent clients seeking financing as well as traditional and non-traditional lenders in all types of loan, sale-leaseback and securitization transactions. We advise clients on current methods and alternatives in real estate financing and assist in the structuring and documentation of real estate mortgages, deeds of trust, contracts of sale and other financing transactions.



We also advise business owners on structuring and drafting construction contracts (prime, multiple prime, subcontractors), as well as design and consultant agreements (e.g. architectural and engineering services).  Additionally, we provide counsel related to construction insurance and the financing of construction projects.
